Welcome to the Terms of Use for GoodChat. This is an agreement (“Agreement”) between Found & Co LLC d/b/a Small Great Ventures (“GoodChat,” “us,” “we,” or “our”) and you (“you,” “your,” or “User”). This Agreement governs your access to and use of www.goodchats.co and any products, materials, and services provided on or through it (collectively, the “Website”).
By accessing or using the Website, you agree to be bound by this Agreement and our Privacy Policy. We may amend these Terms or the Privacy Policy and will indicate the “Last Modified” date when we do. PLEASE NOTE: This Agreement contains arbitration and class action waiver provisions that may affect your rights. If you do not agree, please discontinue use of the Website.
You do not need to create an account or log in to participate in our surveys or to use core areas of the Website. If we later offer optional accounts, you must provide accurate information and keep any credentials secure. You are responsible for activity that occurs under your credentials. We reserve the right to verify credentials and decline, suspend, or terminate access where appropriate.
Subject to this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Website for lawful, personal, and non-commercial purposes. All rights not expressly granted are reserved by GoodChat. We may suspend or terminate access if we believe your actions may harm us, our users, or any third party.
The Website—its structure, organization, code, and related materials—is proprietary to GoodChat and/or its licensors. GoodChat retains exclusive ownership of all intellectual property associated with the Website, including modifications, enhancements, and derivatives. You may not remove proprietary notices or use the Website in violation of this Agreement.
The Website may include informational content, surveys, tools, and features intended for educational and engagement purposes. We do not guarantee that any content is accurate, complete, timely, or suitable for any particular purpose; your use is at your own risk. GoodChat is not affiliated with, nor does it endorse, any political party, candidate, or ballot initiative. GoodChat is not liable for any content or data submitted by users or third parties.
You represent and warrant that (i) you will use the Website solely for lawful purposes; (ii) you have authority to enter into this Agreement; and (iii) you will comply with all applicable U.S. federal and state laws when using the Website.
The Website may contain links to third-party websites or services (“Third-Party Websites”). We are not responsible for their content, policies, or practices, and a link does not constitute endorsement. Your use of Third-Party Websites is at your own risk and subject to their terms. You release and agree to indemnify GoodChat from claims arising from your use of Third-Party Websites.
Please review our Privacy Policy to understand how we collect, use, and share information. By using the Website, you consent to actions consistent with the Privacy Policy.
From time to time, we may send you service, transactional, or marketing communications consistent with our Privacy Policy and your preferences. You can manage or opt out of certain communications as described in those messages or in the Privacy Policy.
You agree you will not: (a) copy, distribute, or disclose any part of the Website without authorization; (b) interfere with Website security or attempt to access non-public areas; (c) use any automated means (e.g., robots, spiders) to access the Website except as obeying robots.txt; (d) reverse engineer, decompile, or create derivative works from the Website; (e) use the Website to build a competing product; (f) impose an unreasonable load on our infrastructure; (g) collect personal information except as permitted; (h) violate intellectual-property or privacy rights; (i) disrupt the Website; or (j) use the Website in a misleading, unlawful, defamatory, obscene, invasive, threatening, or harassing manner. We may suspend or terminate access for violations.
“User Content” means information, data, text, images, videos, or other materials you submit via the Website. You are solely responsible for your User Content. We may (but are not obligated to) host, display, review, or remove User Content at our discretion. You represent and warrant you have all rights necessary to submit the User Content and that it is lawful and non-infringing.
License to GoodChat. You grant GoodChat a non-exclusive, worldwide, transferable, sublicensable, royalty-free license to host, store, reproduce, modify, create derivative works of, and display your User Content for operating and improving the Website and our business. You also grant GoodChat a perpetual, irrevocable, royalty-free license to use feedback or suggestions you provide.
We may monitor the Website and User Content for compliance with this Agreement and applicable law and may remove content at our discretion.
You agree your User Content will be truthful, non-confidential, and free of: nudity/explicit material; gratuitous violence; child or animal abuse; hate speech; illegal activity; harassment; or spam. To report abuse, contact hello@goodchats.co.
You may be invited to participate in a survey, task, or other activity (“Activity”). You must be 18+ to participate. Participation is voluntary; you may skip questions or stop at any time. We do not currently provide compensation for Activities. Information collected will be handled consistent with our Privacy Policy.
No Compensation. GoodChat is not offering cash, merchandise, or other incentives for completing Activities at this time.
We strive for availability but do not guarantee uptime or any specific level of service. We may refuse service or terminate access at any time.
We may add, change, or remove features or content at any time without notice. Updates may be deployed automatically. Nothing here obligates us to provide updates.
“GoodChat,” the Website design, text, graphics, and associated marks are owned by or licensed to GoodChat and protected by law. Do not use, copy, or distribute them without written permission.
By submitting ideas, content, or suggestions (“Submissions”), you agree: (1) Submissions become GoodChat property without compensation; (2) we may use or redistribute Submissions; (3) we have no obligation to review them; and (4) no obligation to keep them confidential.
THE WEBSITE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODCHAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT THE WEBSITE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODCHAT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY. WHERE SUCH LIMITATIONS ARE NOT PERMITTED, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNTS YOU PAID (IF ANY) IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless GoodChat and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your use of the Website; (b) your violation of this Agreement; or (c) your violation of third-party rights.
If you believe content infringes your copyright, please email hello@goodchats.co with: (1) your name; (2) the copyright owner’s name (if different); (3) description of the copyrighted work; (4) the URL/location of the allegedly infringing material; (5) a good-faith statement of unauthorized use; (6) a statement under penalty of perjury that the notice is accurate and you are authorized; and (7) your signature. Counter-Notice: Provide your name, address, email, signature, the notification reference (if any), identification of the removed material and location before removal, a perjury statement that the removal was a mistake, and your consent to the jurisdiction described in Section 24, plus acceptance of service from the complainant.
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The offer and acceptance of this Agreement is deemed to have occurred in Delaware.
Arbitration. Any dispute related to your use of the Website or this Agreement shall be resolved by confidential, binding arbitration in New Castle County, Delaware (conducted in English) under the American Arbitration Association Consumer Rules then in effect, before a single arbitrator. Each party bears its own fees and costs. To the fullest extent permitted by law, arbitration shall proceed only on an individual basis and not in a class, representative, or collective action.
Court Venue (if arbitration is unavailable or for permitted claims). If applicable law does not allow arbitration, or where a claim is expressly permitted to proceed in court (e.g., intellectual-property ownership or equitable relief), the state or federal courts located in New Castle County, Delaware shall have exclusive jurisdiction and venue, and the parties consent to personal jurisdiction there.

Include your name, address, any account info (if applicable), and a clear statement that you opt out of arbitration. If you opt out, the Delaware courts specified above will handle disputes.
Limitations Period. Any claim arising out of or relating to the Website or this Agreement must be filed within one (1) year after the claim accrues or be forever barred.
All proceedings must be conducted on an individual basis. You and GoodChat waive any right to participate in a class, representative, or collective action.
If any provision is found unenforceable, the remaining provisions remain in full force. If provisions conflict, GoodChat may elect which provision governs.
Our failure to enforce any provision is not a waiver of our right to do so later.
You may not assign this Agreement without our prior written consent; we may assign it without restriction. Provisions that by their nature should survive termination (e.g., IP, disclaimers, limitations of liability, indemnities, arbitration) will survive.
You may stop using the Website at any time. To request data deletion consistent with the Privacy Policy, contact hello@goodchats.co. We may suspend or terminate access if: (1) you violate law or this Agreement; or (2) we believe your actions may harm GoodChat, our business interests, or a third party.
This Agreement, together with the Privacy Policy and any supporting terms posted on the Website, constitutes the entire agreement between you and GoodChat concerning the Website and supersedes prior or contemporaneous agreements. Where this Agreement conflicts with other Website documentation, this Agreement controls.
We may amend this Agreement by updating this page and the “Last Modified” date, or by reasonable notice. If you do not agree to updated terms, discontinue use of the Website.
We are not liable for delays or failures caused by events beyond our reasonable control, including failures of telecommunications, labor disputes, acts of nature, war, civil disturbance, or governmental action.
Some features may use text messaging. Standard carrier rates apply. You may opt out as described in the message.
You consent to receive communications from GoodChat electronically, and agree that such communications satisfy any legal requirements that such communications be in writing, subject to your non-waivable statutory rights.
You may not use or export the Website in violation of U.S. export laws and regulations, including to embargoed countries or prohibited parties.
